End User License Agreement

Effective Date: December 2024

1. License Grant

This End User License Agreement ("EULA") is a legal agreement between you ("User") and StackPod ("Licensor") for the use of StackPod software ("Software").

By installing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

2. License Details

Single User License

For $49, you receive:

  • Lifetime access to the Software
  • All current features and functionality
  • Free updates and new features as they're released
  • Priority email support
  • Personal and commercial use rights
  • Installation on unlimited devices you personally use

Team Use: Each developer who uses StackPod requires their own license. For example, a team of 3 developers needs 3 licenses.

3. Restrictions

You may NOT:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, sell, or sublicense the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software for any unlawful purpose
  • Share license keys or circumvent license validation
  • Create derivative works based on the Software

4. Intellectual Property

The Software and all copies thereof are proprietary to Licensor and title remains with Licensor. All rights in the Software not specifically granted in this EULA are reserved to Licensor. The Software is protected by copyright and other intellectual property laws.

5. Third-Party Components

The Software may include open-source components with their own licenses. These components are subject to their respective license terms, which are included with the Software distribution.

Major components include: Electron (MIT), React (MIT), Node.js (MIT), and various npm packages.

6. Updates and Support

Licensor may provide updates, patches, or new versions of the Software at its discretion. This EULA applies to all such updates unless accompanied by a separate license agreement.

  • All updates are free and included with your license
  • Automatic update notifications in the application
  • Priority email support for all license holders
  • Support is provided "as available" without guaranteed response times

7. Data and Privacy

The Software processes data locally on your machine. No personal data is collected or transmitted by the Software itself. For details on data handling by our website and services, see our Privacy Policy.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination, you must destroy all copies of the Software in your possession. Sections 4, 8, 9, and 11 survive termination.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is established, without regard to conflicts of law principles.
